Partner Agreement

Independent Contractor Relationship.

Partners are independent businesses, not employees, agents, or franchisees of security.gift. Partners maintain full control over their personnel, pricing decisions, uniforms, equipment, and operational methods. security.gift provides technology and lead generation only.

1. Definitions

  • Platform: the security.gift website, mobile applications, and related services.
  • Partner: a licensed Texas security company entering this Agreement.
  • Customer: an end-user booking security services through the Platform.
  • Booking: a service request from a Customer transmitted to Partner via the Platform.

2. Partner Eligibility & Ongoing Requirements

Partner represents and warrants throughout the term of this Agreement that it:

  • Holds a current, valid Texas DPS Private Security License (Class A, B, or C as applicable to services offered)
  • Maintains general liability insurance of at least $1,000,000 per occurrence / $2,000,000 aggregate, naming Security Gift, LLC as additional insured
  • Maintains workers' compensation coverage for all W-2 personnel as required by Texas law
  • Ensures all field personnel are DPS-registered, current, and qualified for their assigned service level
  • Conducts background checks (FBI fingerprint) on all officers in accordance with DPS regulations
  • Has no active disciplinary actions or license suspensions
  • Complies with all federal, state, and local laws applicable to its operations

Partner must notify security.gift within 24 hours of any change in license status, insurance lapse, disciplinary action, or material incident.

3. Bookings, Acceptance, and Service Delivery

  • Partner may accept or decline any Booking. Repeated declines without cause may affect Partner ranking on the Platform.
  • Once accepted, Partner is responsible for full performance of the Booking, including dispatch, personnel selection, supervision, and incident reporting.
  • Partner agrees to maintain professional standards: black suit attire (or as specified by service type), on-time arrival, written daily activity reports.
  • Partner is responsible for direct communication with the Customer regarding service details, modifications, and incidents.

4. Fees & Payment

  • Partner sets its own pricing. security.gift does not set or control prices.
  • security.gift retains a platform fee of 15% of the Booking total (subject to change with 30 days' notice).
  • Customer payments are processed by Stripe. Net proceeds are paid to Partner within 48 hours of Booking completion, less any disputed amounts.
  • Partner is responsible for all taxes on its earnings, including sales tax collection where applicable (security services are taxable in Texas).

5. GPS Tracking & Personnel Consent

The Platform's field-log tools include GPS tracking of Partner personnel while on-duty. Texas Penal Code § 16.06 requires written consent for tracking. Partner agrees to:

  • Obtain written consent from each personnel member before enabling GPS tracking
  • Retain consent forms and produce them upon request
  • Indemnify security.gift against any claim arising from unconsented tracking

6. Insurance & Indemnification

Partner shall indemnify, defend, and hold harmless security.gift from any claim, loss, or liability arising out of:

  • Acts or omissions of Partner or its personnel
  • Personal injury, property damage, or death caused during service delivery
  • Breach of this Agreement or violation of any applicable law
  • Any employment, tax, or labor claim by Partner's personnel

7. Brand & Marketing

Partner retains full ownership of its company name, brand, uniforms, and intellectual property. Partner grants security.gift a limited license to display Partner's name, license number, ratings, and verified credentials on the Platform for the purpose of facilitating bookings.

8. Term & Termination

  • This Agreement begins upon approval and continues until terminated.
  • Either party may terminate at any time with 30 days' written notice.
  • security.gift may suspend or terminate immediately upon material breach, license lapse, or conduct that endangers Customers.
  • Upon termination, Partner remains responsible for completing accepted Bookings unless mutually transferred.

9. Confidentiality

Customer data shared via the Platform is confidential. Partner may use it only to deliver the Booking and must comply with the Privacy Policy. Partner shall not market to or contact Customers outside the Platform without their express consent.

10. Disputes

This Agreement is governed by Texas law. Disputes shall be resolved by binding arbitration in Harris County, Texas under the rules of the American Arbitration Association. Each party waives the right to a jury trial and to participate in a class action.

11. Miscellaneous

  • This Agreement is the entire agreement between the parties.
  • Modifications must be in writing and signed by both parties (electronic signature acceptable).
  • If any provision is unenforceable, the remainder remains in effect.
  • Neither party may assign without the other's consent, except in connection with a sale of substantially all assets.
